David is an Australian qualified lawyer with over 8 years of international legal experience including as a senior lawyer at a Magic Circle firm.
 

David specializes in banking and finance law and his experience includes working for domestic and international financiers (in both Australia and the UAE), as well as for multinational corporations across a wide range of industries. David’s experience also includes various cross-border transactions with a particular focus on emerging markets.

Experience

Sovereign Debt

 

  • Advised a UAE sovereign wealth fund on its debut syndicated debt facility.
     

  • Advised a UAE bank on a debt facility provided to the government of an African country in connection with the acquisition of key state assets.
     

  • Advised the Minister of Finance of a GCC country in connection with the issuance of various sovereign guarantees.

 

Project Finance

 

  • Advised a syndicate of banks on the financing a ‘first of its kind’ sewage treatment plant in Dammam, KSA.
     

  • Advised a syndicate of banks and a governmental authority on USD4.1b Islamic and conventional facilities to the operator of a phosphate mine in KSA.
     

  • Advising a Government Related Entity on a financing for development of attractions in a newly developed city which was supported by United Kingdom Export Finance (the UK’s export credit agency).

 

Corporate Finance

 

  • Advised Emirates Global Aluminium on its debut (Islamic and conventional) syndicated facilities for USD4.7bn.
     

  • Advising a syndicate of banks in connection with AED6.5bn facilities provided to a regional company for the acquisition of global healthcare assets.
     

  • Advised one of the world’s largest private education providers on various debt facilities.
     

  • Advised the main shareholder in relation to various debt facilities provided for in connection with the development and operation of a Port in Barcelona, Spain.
     

  • Advised Emirates Global Aluminium on a USD450m receivables financing program with JP Morgan.
     

  • Advised a club of banks in connection with facilities provided to a subsidiary of a Canadian pension fund to support its mandate to acquire assets in Australia of AUD1b in value.
     

  • Advised an Australian property fund on subscription finance facilities provided by Morgan Stanley against the capital calls (with value of AUD500m) of institutional investors in the Middle East and Europe.

 

Restructuring

 

  • Advised Arabtec (one of the largest construction companies in the UAE) in connection with restructuring and insolvency proceedings.
     

  • Advised an Indian property developer in connection with the restructuring of debt facilities for real estate developments in the Middle East.

 

Acquisition and Leveraged Finance

 

  • Advised JB Hi-Fi in relation to facilities provided by a syndicate of banks to acquire The Good Guys for AUD870m.
     

  • Advised Westpac Banking Corporation in connection with facilities provided to an Australian headquartered technology company with subsidiaries in the USA, UK and New Zealand.

 

Property and Construction

 

  • Advised Qatari banks on Shariah compliant secured debt facilities (exceeding GBP800m) for high-profile hotels in London.
     

  • Advised an Australian bank on its financing of high-profile agriculture assets across various states in Australia.
     

  • Advised a leading global student accommodation provider on its acquisition and construction facilities for various assets across Australia with a developed end value exceeding AUD700m.
