Experience

Hannah is an experienced transactional lawyer with broad projects, corporate, finance, project finance and general commercial law experience, in particular, within the energy and infrastructure sector.
 

Projects
 

  • Drafting and negotiating a management agreement and joint venture arrangement for an inland container terminal.
     

  • Advising commercial lenders and export credit agencies supporting bidders on all legal aspects of bids for various GCC power and desalination plant projects.
     

  • Drafting and negotiating long-term port concession contracts and joint venture agreements for port projects in various jurisdictions (including in emerging markets). 
     

  • Advising DP World on the legal aspects of competitive tender bid submissions for port concession arrangements and port acquisitions.
     

  • Assisting on the contractual arrangements for a waste to energy project in Abu Dhabi.
     

  • Advising an emerging markets private equity fund on investments in Nigerian and Zambian power assets.
     

  • Assisting the Sharjah Petroleum Council on the transfer of existing operating contracts for the Sajaa gas field, UAE.

Finance & Project Finance

  • Advising the lenders on the US$2bn Islamic financing of the Madinah Airport Expansion in Saudi Arabia (including project financing, construction and operation documents).
     

  • Advising the corporate sponsors in relation to a US$ petrochemical project in Saudi Arabia (including the project financing, offtake and marketing agreements, project management, construction and other project documents).
     

  • Advising a broad range of clients (both in private practice and in-house for DP World) on various financings (conventional bilateral as well as project finance loans), loan restructurings and re-financings.
     

  • Advising the legal aspects of existing debt restructuring required in connection with acquisitions of the Embraport terminal in Brazil and Drydocks World in Dubai.

Corporate
 

  • Advising on various business and share acquisitions and disposals.
     

  • Advising on all legal aspects of DP World’s C$580 acquisition of Prince Rupert Container Terminal in British Columbia, Canada, from Deutsche Bank AG including negotiating the share purchase agreement, transitional arrangements, and amendments to the port lease and rail arrangements.
     

  • Negotiating the acquisition by DP World of its joint venture partner’s majority stake in Embraport terminal, Brazil, as well as restructuring the company’s existing debt in that terminal business.
     

  • Advising on the US$405 million acquisition by DP World of Maritime World, the owner of Dubai Maritime City, and Drydocks World in Dubai.
     

  • Advising on setting up a US$ 3.7 billion investment partnership between DP World and Caisse de dépôt et placement du Québec (CDPQ), one of North America’s largest pension fund managers to invest jointly in ports and terminals globally.
     

  • Advising a major UAE national telecommunications company on unincorporated joint venture arrangements to construct and operate telecommunications infrastructure.

Commercial
 

  • Advising on various commercial contracts, including services agreements, port and inland container terminal services agreements, management agreements, supply agreements, non-disclosure agreements, contract novations, contract termination arrangements, exclusivity agreements and sponsorship contracts.
